Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the ProHQ platform and services provided by Exatorial Software Private Limited (“ProHQ”, “we”, “us”), accessible at prohq.ai. By creating an account, signing an order form or using the service, you agree to these Terms.

1. The service

ProHQ is a process-management platform offered as software-as-a-service, together with consultancy services: we help document, run, improve and - where useful - automate your organisation's processes. Specific scope, seats and pricing are set out in your order form, proposal or invoice.

2. Accounts

• You must provide accurate information and keep your credentials secure.
• You are responsible for activity under your organisation's accounts.
• One person may not share a single seat across multiple users unless agreed.

3. Subscriptions, fees and payment

• Fees, billing frequency and seat counts are as agreed in your order form, proposal or invoice. All fees are exclusive of applicable taxes (including GST), which will be charged additionally where required.
• Payments are processed securely through our payment partner Razorpay. We do not store your payment instrument details.
• Invoices are due as per the payment terms stated on them.
• Beta partner pricing is locked for beta partners as communicated in their agreement and survives general price revisions, as long as the subscription remains active.

4. Cancellations and refunds

Cancellations and refunds are governed by our Cancellation & Refund Policy.

5. Your data

Your business data belongs to you. You grant us the limited rights needed to host, process and display it in order to provide the service. Our handling of personal information is described in the Privacy Policy.

6. Acceptable use

• No unlawful, infringing or harmful content or activity.
• No attempts to breach, probe or overload the service.
• No reselling of the service without a written agreement.

7. Intellectual property

The platform, its design, code and documentation remain the property of Exatorial Software Private Limited. “ProHQ”™ and “ProHQ.ai”™ are trademarks of the founders (applications filed under Class 42, Trade Marks Registry, India), licensed to Exatorial Software Private Limited. Process definitions and content you create remain yours.

8. Confidentiality

Each party will protect the other's confidential information with at least the care it uses for its own, and use it only to perform under these Terms.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance is notified in advance where practical. Support is provided over WhatsApp and email; beta partners receive priority founder support.

10. Disclaimer and limitation of liability

The service is provided “as is”. To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees paid by you in the twelve months preceding the claim. We are not liable for indirect or consequential losses.

11. Termination

You may stop using the service at any time. Either party may terminate for material breach not cured within 30 days of notice. On termination, your data is available for export for 30 days, after which it is deleted as per the Privacy Policy.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Courts at New Delhi, India shall have exclusive jurisdiction.

13. Changes

We may update these Terms; material changes will be notified. Continued use after changes constitutes acceptance.
